Terms of Service

Welcome to MeritForge.
These Terms of Service (“Terms”) govern access to and use of MeritForge, a business-to-business employee recognition platform provided by MeritForge (“MeritForge,” “we,” “us,” or “our”).
By creating a workspace, accessing the platform, accepting an invitation, or using MeritForge, you agree to these Terms. If you use MeritForge on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use MeritForge.
1. The Service
MeritForge provides software for workplace recognition, peer-to-peer appreciation, badges, medals, titles, internal recognition feeds, team insights, reward-related workflows, and related organization management features.
MeritForge is a multi-tenant SaaS platform. A user may have a global account identity and may belong to one or more organization workspaces. Each organization workspace is managed by its own authorized Owners, Admins, and other configured roles.
Access to a workspace is controlled by the organization. MeritForge does not automatically grant access to a workspace solely because a user has a matching email domain. Workspace access may require invitation, approval, or other authorization by the organization.
2. Customer and user responsibilities
Customers are responsible for:
- deciding who may access their workspace;
- assigning appropriate roles and permissions;
- keeping organization, billing, tax, and administrative information accurate;
- configuring recognition rules, rewards, approvals, allowances, and integrations;
- ensuring their use of MeritForge complies with employment, privacy, tax, labor, and workplace laws applicable to them;
- informing users about internal rules for recognition, rewards, and acceptable use;
- maintaining appropriate funding and configuration for any enabled third-party reward provider.
Users are responsible for using MeritForge respectfully, lawfully, and in accordance with their organization’s policies.
3. Account access and security
Users access MeritForge through supported authentication methods, such as passwordless login, magic links, or one-time codes.
You are responsible for maintaining the security of your email account, login methods, devices, and access credentials. You must notify your organization administrator or MeritForge promptly if you believe your account has been compromised or used without authorization.
MeritForge may suspend or restrict access where reasonably necessary to protect the platform, investigate abuse, comply with law, or prevent harm to customers, users, or the service.
4. Subscription, billing, and seats
MeritForge is offered as a subscription service.
Paid workspaces are billed through Stripe or another approved payment provider. Unless otherwise agreed in writing, subscriptions are billed monthly based on the number of seats or active users in the customer workspace.
By subscribing to a paid plan, the customer authorizes recurring charges according to the selected plan, seat count, billing cycle, and applicable taxes.
If seats are added during a billing period, additional fees may be prorated for the remainder of that period. If seats are reduced, the change may apply from the next billing period unless otherwise stated in the product or agreed in writing.
Fees are generally non-refundable except where required by law or expressly agreed by MeritForge.
Customers are responsible for providing accurate billing, tax, and invoicing information. Invoices and payment handling will comply with applicable tax, accounting, and invoicing requirements.
5. Free plans and trials
MeritForge may offer free plans, trials, beta features, or promotional access.
Free or trial access may be limited by number of users, features, usage, duration, or other criteria. MeritForge may modify, suspend, or discontinue free plans or trials at any time, provided this does not affect paid commitments already agreed in writing.
6. Recognition economy and in-app balances
MeritForge may include recognition-related units, balances, or counters, including Sparks, Ingots, Honor, XP, badges, medals, titles, levels, or similar features.
These features are part of the MeritForge product experience. Unless expressly stated otherwise:
- they are not money;
- they are not electronic money;
- they are not stored value;
- they are not financial instruments;
- they have no cash value;
- they cannot be sold, transferred, withdrawn, exchanged for cash, or redeemed outside the MeritForge interface;
- they may be adjusted, corrected, reversed, expired, or removed according to workspace rules or platform integrity needs.
When a user leaves an organization or loses access to a workspace, unused Sparks, Ingots, Honor, XP, badges, titles, and other in-app balances do not transfer outside that workspace and may be lost.
7. Treasury Credits and real-world rewards
MeritForge may allow organizations to connect recognition milestones to real-world rewards through Treasury Credits or similar reward-related balances.
Treasury Credits are not cash and do not belong to the user as personal property. They represent a limited in-app eligibility mechanism that may be used only within the MeritForge reward flow, only if enabled by the organization, and only subject to the organization’s rules and available reward configuration.
If a user leaves an organization, is deactivated, or loses access to a workspace, unused Treasury Credits may expire or be forfeited unless the organization decides otherwise.
Once a real-world reward is issued by a third-party provider, that reward may be subject to the provider’s own terms, expiration rules, delivery conditions, geographic restrictions, and support processes.
8. Third-party reward providers
MeritForge may integrate with third-party reward providers such as Tremendous.
The customer organization is responsible for configuring, funding, and maintaining its own reward provider account where applicable. MeritForge does not hold customer reward funds, does not operate as a bank, does not issue gift cards directly, and does not guarantee the availability of any specific reward, brand, currency, region, or catalog item.
Reward redemptions may fail or be delayed due to insufficient customer funding, provider downtime, incorrect configuration, provider restrictions, fraud checks, regional availability, or other third-party issues.
MeritForge is not responsible for reward failures caused by the customer’s funding, configuration, employment decisions, internal policies, or third-party provider limitations. Users should resolve reward eligibility, funding, and employment-related disputes directly with their organization.
9. Acceptable use
You must not use MeritForge to:
- violate applicable laws or regulations;
- harass, threaten, defame, discriminate against, or abuse others;
- post unlawful, offensive, harmful, misleading, or inappropriate content;
- upload malware, harmful code, or content designed to disrupt the service;
- attempt to gain unauthorized access to accounts, workspaces, systems, or data;
- scrape, copy, reverse engineer, or interfere with the platform except where allowed by law;
- bypass usage limits, security measures, approvals, or access controls;
- impersonate another person or misrepresent your identity or authority;
- use automated scripts or bots without authorization;
- manipulate recognition activity, rewards, rankings, balances, or analytics.
10. Anti-gaming and abuse prevention
MeritForge is designed for authentic recognition.
Users must not artificially manipulate the recognition economy, including by:
- exchanging Sparks or recognition in coordinated bad faith;
- creating fake, duplicate, or staged accounts;
- sending recognition solely to inflate XP, Honor, Treasury Credits, rewards, badges, or rankings;
- using scripts, bots, or automation to generate activity;
- exploiting bugs or configuration errors;
- pressuring others to send recognition or rewards.
MeritForge and customer administrators may review, flag, freeze, reverse, or remove suspicious activity, balances, rewards, or recognition events where reasonably necessary to protect platform integrity.
MeritForge may suspend or terminate accounts or workspaces involved in abuse, fraud, manipulation, or serious violations of these Terms.
11. Customer content
Customers and users may submit, upload, or create content in MeritForge, including recognition messages, comments, badge titles, descriptions, organization values, profile images, logos, imported employee data, and other workspace content.
As between the customer and MeritForge, the customer retains ownership of its workspace content.
The customer grants MeritForge a limited license to host, process, transmit, display, back up, and otherwise use customer content only as needed to provide, secure, support, and improve the service, comply with law, and enforce these Terms.
Customers are responsible for ensuring they have the rights and lawful basis needed to submit and process customer content in MeritForge.
12. Public sharing features
MeritForge may allow certain badges, recognitions, or achievements to be shared through public links or external sharing features.
Customers and users are responsible for deciding what content is appropriate to share externally. Publicly shared content may be visible outside the customer workspace.
MeritForge may disable public links, remove shared content, or restrict sharing features where necessary for security, privacy, legal compliance, abuse prevention, or workspace deletion.
13. AI-assisted features
MeritForge may include AI-assisted features, such as suggesting badge titles or recognition wording.
AI-generated suggestions may be inaccurate, incomplete, or inappropriate. Customers and users are responsible for reviewing AI-generated content before using, publishing, or relying on it.
Users should not submit unnecessary sensitive personal data, confidential business information, or regulated information into AI-assisted fields unless their organization has approved that use.
MeritForge may modify, limit, or discontinue AI-assisted features at any time.
14. Integrations and third-party services
MeritForge may integrate with third-party services such as Slack, Supabase, Microsoft Azure, Stripe, Tremendous, analytics providers, or other systems.
Third-party services are governed by their own terms and policies. MeritForge is not responsible for third-party services, external platforms, provider outages, changes, data handling, or discontinued integrations, except where required by law.
Customers are responsible for enabling, configuring, and authorizing integrations in accordance with their own legal and security requirements.
15. Privacy and data protection
Use of MeritForge is also governed by our Privacy Policy.
The Privacy Policy explains how personal data is collected, used, stored, shared, retained, and deleted.
Where MeritForge processes personal data on behalf of a customer, the customer is generally the data controller and MeritForge acts as a data processor, as described in the Privacy Policy and any applicable data processing terms.
16. Service availability
MeritForge aims to provide a reliable service, but we do not currently offer a formal Service Level Agreement unless separately agreed in writing.
The service is provided on an “as available” basis. We may perform maintenance, updates, security patches, infrastructure changes, or emergency interventions that temporarily affect availability.
We are not liable for downtime, delays, data transmission issues, or service interruptions caused by maintenance, third-party providers, force majeure events, customer systems, internet failures, security incidents, or circumstances outside our reasonable control.
17. Changes to the service
MeritForge may improve, modify, add, or remove features over time.
We may change the design, functionality, integrations, limits, plans, pricing, or availability of parts of the service. Where changes materially affect paid customers, we will use reasonable efforts to provide notice.
18. Suspension and termination
Customers may cancel their subscription according to the cancellation process available in the product or through support.
MeritForge may suspend or terminate access if:
- fees are unpaid;
- the customer or user violates these Terms;
- the workspace is used unlawfully or abusively;
- continued access creates security, legal, financial, or operational risk;
- we are required to do so by law or a third-party provider.
Upon termination, access to the workspace may be disabled. Data retention, export, deletion, and anonymization are handled according to the Privacy Policy and applicable customer settings.
Termination does not relieve the customer of payment obligations incurred before termination.
19. Disclaimers
MeritForge is provided on an “as is” and “as available” basis, except as expressly stated in a separate written agreement.
We do not guarantee that the service will be uninterrupted, error-free, secure at all times, compatible with every system, or suitable for every customer’s specific employment, tax, reward, cultural, or compliance needs.
MeritForge does not provide legal, tax, HR, accounting, or employment advice. Customers are responsible for evaluating how to use MeritForge in compliance with their own obligations.
20. Limitation of liability
To the maximum extent permitted by law, MeritForge will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, goodwill, data, business opportunities, or employee relations.
To the maximum extent permitted by law, MeritForge’s total liability for any claim related to the service will be limited to the amounts paid by the customer to MeritForge for the service during the three months before the event giving rise to the claim.
Nothing in these Terms limits liability where it cannot legally be limited, including liability for fraud, intentional misconduct, or other liability that cannot be excluded under applicable law.
21. Indemnity
To the extent permitted by law, the customer agrees to indemnify and hold MeritForge harmless from claims, damages, losses, liabilities, and expenses arising from:
- the customer’s use of the service;
- customer content;
- misuse of rewards or recognition features;
- employment, tax, labor, or workplace disputes;
- customer-configured integrations;
- violation of these Terms;
- violation of applicable law;
- disputes between the customer and its users.
22. Governing law and jurisdiction
These Terms are governed by the laws of Spain, unless mandatory consumer or local laws require otherwise.
For business customers, disputes arising from or related to these Terms or the use of MeritForge will be submitted to the competent courts of Spain, unless another venue is required by applicable law.
